CORPKEY – Business Terms of Service

Effective Date: August 1, 2025

These Business Terms of Service (“Terms”) govern the use of the CORPKEY platform by businesses that either (a) subscribe to provide employee access to benefits (“Employers”) or (b) publish venue listings and offers on the Platform (“Partners”). These Terms form a legally binding agreement between each respective business entity (“you”, “your”) and Dot Connector Management Consultancies Co., trading as CORPKEY, with Trade License No. 1295450 (“CORPKEY”, “we”, “us”, or “our”).

These Terms are divided into two parts:


Part B: Partner Terms of Service

  1. Definitions

    • Partner: A venue, establishment, or provider, including restaurants, bars, cafés, lounges, and lifestyle operators, that lists its business, offers, or content on the Platform.
    • Offers: Promotions, incentives, events, packages, or lifestyle made available by the Partner to CORPKEY users.
    • Platform: The CORPKEY app, web portal, and all associated tools, services, and technologies.
  2. Scope of Agreement

    • These Terms apply exclusively to Partners that list with CORPKEY.
    • Employers and Employees are governed by separate terms.
    • No exclusivity is granted unless expressly agreed in writing.
  3. Access and Listing

    • Partner listings are an annual commitment to be present on the Platform.
    • Partners may request early removal of their listing; however, such removal is at CORPKEY’s sole discretion and does not release the Partner from its annual commitment. The annual commitment period is 12 months from the listing start date, and early termination does not release the Partner from any payment obligations unless expressly agreed in writing.
    • Partners may submit venue profiles, offers, menus, events, images, and related materials for publication on the Platform.
    • CORPKEY may review, approve, reject, or remove submissions at its discretion to meet brand, legal, or quality standards.
  4. Offer Standards and Fulfilment

    • Partners must ensure that all Offers and information are accurate, current, and compliant with UAE laws, licensing, and advertising standards, including any age restrictions and promotional rules.
    • When a valid CORPKEY user presents a digital CORPKEY card or follows the stated redemption flow, the Partner must honour the Offer in accordance with the disclosed terms and venue capacity and safety policies.
    • Entry and service remain at the Partner’s discretion for legitimate reasons such as private events, capacity, dress codes, and safety, provided this discretion is applied lawfully and consistently with the disclosed Offer terms.
    • Partners are solely responsible for the quality, safety, and delivery of their products and services and for staff training to honour Offers correctly.
    • The structure, frequency, and conditions of Offers, including member-only incentives, are governed by CORPKEY’s Onboarding Guidelines, which form part of the Partner participation process and may be updated by CORPKEY from time to time.
  5. Content and Brand Use

    • By submitting any content, the Partner grants CORPKEY a worldwide, royalty free licence to use, reproduce, host, display, and promote that content on the Platform and in CORPKEY marketing and communications.
    • CORPKEY may edit or format Partner content for presentation without altering its substance.
    • CORPKEY may display “Partner” badges and other identifiers for clarity. Partners may reference CORPKEY in their own communications to signal participation, provided they do not misrepresent the relationship and follow any CORPKEY brand guidelines provided.
  6. Usage Restrictions

    Partners must not:

    • Misrepresent their business, Offers, or relationship with CORPKEY.
    • Upload unlawful, harmful, defamatory, obscene, or misleading content, or content that infringes third party rights.
    • Scrape, copy, reverse engineer, or interfere with the Platform or its security.
    • Collect, store, or reuse CORPKEY user personal data except as strictly necessary to complete a single in venue transaction and in compliance with applicable law.
    • Use the Platform in any manner that breaches UAE laws or applicable local regulations.
  7. Data and Privacy

    • CORPKEY may provide Partners with aggregated or anonymised analytics to help evaluate Offer performance. Partners will not receive user level personal data from CORPKEY unless expressly authorised by the user and disclosed in the Privacy Policy.
    • Any personal data that a Partner collects independently must be collected and processed in compliance with applicable data protection laws and only for the limited purposes disclosed to the user at the point of collection.
  8. Service Limitations

    • CORPKEY aims to maintain high availability but does not guarantee uninterrupted operation, minimum visibility, user volumes, redemptions, or commercial outcomes for any Partner.
    • CORPKEY does not operate or control Partner venues and is not responsible for their availability, accuracy, safety, or quality.
  9. Indemnity

    The Partner agrees to indemnify and hold harmless CORPKEY, its officers, directors, employees, and affiliates against any third party claims, damages, liabilities, costs, or expenses (including reasonable legal fees) that arise directly from the Partner’s breach of these Terms, misuse of the Platform, infringement of third party rights in Partner content, failure to honour Offers as published, or the actions or omissions of the Partner’s employees or representatives.

    For example, if a Partner lists an Offer but refuses to honour it for an eligible CORPKEY user, or advertises conditions that are not available on arrival, any resulting claims brought by users, regulators, or other third parties will be the Partner’s sole responsibility.

  10. Liability Limitation

    To the maximum extent permitted by law, CORPKEY shall not be liable to the Partner for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of revenue, profits, goodwill, or business opportunities, arising out of or relating to these Terms or the Partner’s participation on the Platform. CORPKEY’s liability is limited strictly to obligations that cannot be excluded under applicable UAE law.

  11. Suspension and Removal

    • CORPKEY may suspend, demote, or remove Partner listings at any time for non compliance, repeated user complaints, reputational risk, poor quality, legal violations, or safety concerns.
    • Partners may request removal of their listing with 30 days written notice to CORPKEY. Such removal does not affect the annual commitment unless otherwise agreed in writing.
    • Upon removal or termination, Partner content will be taken down from the Platform, except that CORPKEY may retain anonymised usage data for reporting, audit, and service improvement.
  12. Marketing and Publicity

    • CORPKEY may display Partner logos, names, images, and Offers on the Platform and in marketing materials.
    • Partners may reference CORPKEY in their own materials to signal participation, provided the representation is accurate and not misleading.
  13. Other Agreements

    These Terms govern the general relationship between CORPKEY and Partners. CORPKEY may enter into separate commercial agreements with individual Partners, including arrangements for commissions, premium features, sponsored placements, or other commercial terms. If there is a conflict between these Terms and any such written agreement, the written agreement will prevail.

    13A. Invitations and Promotional Placements

    • CORPKEY may offer Partners or approved third-party brands the option to distribute invitations, event notices, or other promotional materials through the CORPKEY Platform.
    • Such placements are optional, subject to CORPKEY approval, and governed by separate commercial arrangements that define pricing, targeting criteria, and delivery terms.
    • Payment for promotional placements or invitations does not guarantee specific performance metrics such as user reach, impressions, or conversions.
    • All invitations are distributed solely by CORPKEY to end users. Partners and external brands will not receive user-level personal data.
    • Partners remain solely responsible for the accuracy, legality, and fulfilment of any event or promotion communicated through an invitation.
    • Co-branded invitations or campaigns must be pre-approved in writing by CORPKEY to ensure brand alignment and compliance with applicable laws.
    • CORPKEY reserves the right to introduce additional promotional or communication features for Partners, which will be governed by separate commercial terms.
  14. Intellectual Property

    • All rights in the CORPKEY Platform, brand, software, and materials remain the exclusive property of CORPKEY.
    • These Terms do not grant any right to reproduce, distribute, or adapt CORPKEY intellectual property without prior written permission.
  15. No Agency

    Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between CORPKEY and the Partner. CORPKEY does not act as the Partner’s agent and does not guarantee Partner performance.

  16. Force Majeure

    CORPKEY is not liable for delays or disruptions caused by events beyond its reasonable control, including natural disasters, cyberattacks, internet outages, government restrictions, or regulatory changes.

  17. Governing Law and Dispute Resolution

    • These Terms are governed by the laws of the United Arab Emirates.
    • Disputes shall be subject to the exclusive jurisdiction of the Dubai courts.
    • Before initiating legal proceedings, the Partner agrees to first attempt to resolve disputes with CORPKEY by contacting our support team.
  18. Modifications

    • CORPKEY may update these Terms from time to time. Partners will be notified of material changes via email or platform notice.
    • Changes take effect immediately upon notice unless otherwise specified. If a Partner does not agree to updated Terms, the Partner’s sole remedy is to request removal from the Platform.
  19. Severability

    If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

  20. No Waiver

    Failure by CORPKEY to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

  21. Entire Agreement

    These Terms constitute the entire agreement between CORPKEY and the Partner with respect to the subject matter and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
