CORPKEY – Business Terms of Service
Effective Date: August 1, 2025
These Business Terms of Service (“Terms”) govern the use of the CORPKEY platform by businesses that either (a) subscribe to provide employee access to benefits (“Employers”) or (b) publish venue listings and offers on the Platform (“Partners”). These Terms form a legally binding agreement between each respective business entity (“you”, “your”) and Dot Connector Management Consultancies Co., trading as CORPKEY, with Trade License No. 1295450 (“CORPKEY”, “we”, “us”, or “our”).
These Terms are divided into two parts:

Part A: Employer Terms of Service

Definitions
- Employer: A company subscribing to CORPKEY in order to grant its employees access to benefits, discounts, and services available through the Platform.
- Employees: Individuals employed by the Employer who are authorised to access CORPKEY under the Employer’s subscription.
- Platform: The CORPKEY app, web portal, and all associated tools, services, and technologies.

Scope of Agreement
- These Terms apply exclusively to Employers subscribing to CORPKEY.
- Employees of Employers are governed separately by CORPKEY’s User Terms of Use, which the Employer agrees to enforce internally.
- This agreement does not grant exclusivity unless expressly agreed in writing.

Platform Access
- Employers receive access to a portal where they can manage employees, assign administrator roles, and monitor subscription status.
- Employers are responsible for ensuring that employee records are accurate and kept up to date.
- Employers must immediately remove employees who are no longer employed. Failure to do so may result in account suspension.

Fees and Payment Terms
- Subscriptions are monthly, tiered by employee headcount, with an optional discounted annual plan.
- Payments may be made by credit or debit card, bank transfer, or invoice. Card payments are processed securely via Stripe.
- If payment is more than 3 days late, the account will be suspended. After 7 days, the account may be removed unless a valid reason is provided.
- Suspension or termination for non-payment does not release the Employer from its obligation to pay all fees due for the full 12-month term.
- All fees are exclusive of VAT or other applicable taxes, which will be added at the prevailing rate.

Term, Renewal and Cancellation
- Employer subscriptions are for a fixed 12-month term, unless otherwise agreed in writing.
- Subscriptions automatically renew for successive 12-month periods unless written notice of non-renewal is provided at least 30 days before the end of the current term.
- To cancel, Employers must notify CORPKEY via the Platform or by emailing support@corpkey.ae with at least 30 days’ notice.
- Cancellation Fee: If a cancellation request is submitted at any point during the subscription term, the Employer will be charged a final cancellation fee equivalent to one month’s subscription, in addition to any subscription fee already paid during the current billing cycle. Example: If a subscription payment was made on 1 July and cancellation is requested on 2 July, the July payment remains non-refundable, and a final payment will be charged on 1 August, after which access will be removed.
- The Employer will retain access to the CORPKEY platform until the end of the final billing month. Once the final cancellation fee is processed, access will be revoked.
- A cancellation request may be withdrawn any time prior to the final cancellation fee being processed. After the final payment is taken, the cancellation becomes final and irreversible.
- No refunds are provided for cancellations made mid-term, except where the subscription is cancelled within 14 days of activation. In such cases, a refund request may be submitted for internal review and is subject to CORPKEY’s sole discretion.

Platform Use and Branding
- Employers may use the Employer Portal to:
Manage employees, including removing employees who are no longer active
Assign administrator roles
View subscription status and account details - Employers are permitted to use the CORPKEY name and logo solely for the purpose of communicating internally and externally that they are CORPKEY members and provide access to active employees. Any other use of CORPKEY intellectual property requires prior written consent.

Usage Restrictions
Employers must not:
- Resell or sublicense access to the CORPKEY platform
- Scrape data or misuse user information
- Misrepresent their business or the scope of CORPKEY access
- Use CORPKEY for any purpose other than providing access to benefits for their verified employees
- Reverse engineer, copy, or attempt to create a competing service
- Upload harmful code, malware, or otherwise interfere with the security or functionality of the Platform
- Use CORPKEY in violation of UAE laws or regulations

Indemnity
The Employer agrees to indemnify and hold harmless CORPKEY, its officers, directors, employees, and affiliates against any third-party claims, damages, liabilities, costs, or expenses (including reasonable legal fees) that arise directly from the Employer’s breach of these Terms, misuse of the Platform, or the actions or omissions of its employees or representatives.
For example, if an Employer fails to remove an ex-employee from the Platform and that individual continues to redeem offers, this constitutes misuse and abuse of CORPKEY. Any resulting claims from CORPKEY Partner Venues or other affected third parties will be the Employer’s sole responsibility.

Service Limitations
- CORPKEY aims to provide high availability but does not guarantee uninterrupted service, venue performance, or employee engagement levels.
- Employers acknowledge that all offers and services are provided by Partner Venues. CORPKEY does not operate or control Partner Venues and is not responsible for their availability, accuracy, safety, or quality. CORPKEY disclaims liability for any acts, omissions, or representations made by Partner Venues.

Liability Limitation
- To the maximum extent permitted by law, CORPKEY’s total aggregate liability to the Employer for any claim arising out of or relating to these Terms shall only apply if established by a final judgment of a competent court in Dubai, United Arab Emirates, and shall not exceed the total subscription fees paid by the Employer in the one month period immediately preceding the event giving rise to the claim.
- CORPKEY is not liable for indirect, incidental, or consequential damages, including lost profits.
This limitation applies regardless of the cause of action, whether in contract, tort, or otherwise.

Data Collection and Privacy
- CORPKEY collects company and employee data (name, email, phone, date of birth) for platform access and communication.
- Payment details are securely processed and stored by Stripe, not CORPKEY.
- By using the Platform, the Employer agrees to CORPKEY’s Privacy Policy.
- Employers retain ownership of their submitted content. CORPKEY retains ownership of the Platform, brand, and all anonymised usage data, which may be used for analytics, reporting, and service improvements.

Suspension and Termination
- Accounts may be suspended or terminated for non-payment, repeated misuse, or violation of these Terms.
- Repeated misuse by multiple employees may result in account review, warning, or removal.
- On termination, sensitive data will be deleted, while basic records may be retained for audit or compliance.
- CORPKEY reserves the right to terminate agreements with immediate effect if the Employer engages in conduct that may harm CORPKEY’s reputation, breach applicable law, or present compliance risks.

Marketing and Publicity
- CORPKEY may list Employers (name, logo, brand) on its website, decks, and marketing materials.
- Employers may reference CORPKEY in their own promotional materials unless otherwise restricted by a written agreement.

Force Majeure
- CORPKEY is not liable for delays or disruptions caused by events beyond its control, including natural disasters, cyberattacks, internet outages, government restrictions, or regulatory changes.

Intellectual Property
- All rights in the CORPKEY platform, brand, software, and materials remain the exclusive property of CORPKEY.
- These Terms do not grant any right to reproduce, distribute, or adapt CORPKEY IP without written permission.

Governing Law and Dispute Resolution
- These Terms are governed by the laws of the United Arab Emirates.
- Disputes shall be subject to the exclusive jurisdiction of the Dubai courts.
- Before initiating legal proceedings, the Employer agrees to first attempt to resolve disputes with CORPKEY by contacting our support team.

Modifications
- CORPKEY may update these Terms from time to time. Employers will be notified of material changes via email or platform notice.
- Changes take effect immediately upon notice, unless otherwise specified. If an Employer does not agree to updated Terms, its sole remedy is to stop using the Platform and cancel its subscription in accordance with SECTION 5.

Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver
Failure by CORPKEY to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement
These Terms constitute the entire agreement between CORPKEY and the Employer with respect to the subject matter and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
